Song Writing Contract
License agreement between licensor & licensee is effective on date of agreement. Licensor warrants all control of mechanical rights to said copyrighted music. All licenses are non refundable & non transferable.
Master Use: Licensor grants Licensee a non exclusive license to record vocal synchronization to the composition partly or in it's entirety & substantially in it's original form.
Mechanical Rights: The licensor grants to licensee a non exclusive license to use master recording in the reproduction, duplication, manufacture, & distribution of any audio reproduction, & digital downloads, other miscellaneous audio, or digital recordings, & any lifts & versions worldwide. Unlimited free internet download streams for non for profit & non commercial use. This license allows up to One Million monetized audio streams to site such as, ( Soundcloud, Rhapsody, etc.), but not eligible for monetization on sites like, (YouTube etc.) This includes, performance rights, broadcasts rights, synchronization rights.
Licensee shall acknowledge the original authorship of the composition appropriately & reasonable in all media & performance formats under the name (Licensor), receipt of which is herby acknowledged. If the Licensee fails to account to the Licensor, timely complete the payments provided for hereunder, or perform it's other obligations hereunder, including having insufficient bank balance, the Licensor shall have the right to terminate License upon written notice to the Licensee. Such termination shall render the recording, manufacture & or distribution of recordings for which monies have not been paid subject to & actionable infringements under applicable law, including, without limitation, the United States Copyright Act, as amended.
Miscellaneous: Audio Samples & their clearance are the responsibility of the Licensee. This license is non transferable & is limited to the composition specified above, does not convey or grant any right of public performance for profit, constitutes the entire agreement between the Licensor & the Licensee relating to the composition, & shall be binding upon both the Licensor & the Licensee & their respective successors, assigns, & legal representatives.
